Terms of service

These Terms of Service (“Terms”) govern your use of Heed, operated by Shawn Hong, carrying on business as Tevah (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms.
1. The Service
Heed is a web-based loyalty and reviews tool for merchants — medspas, salons, cafes and similar small businesses. It has two halves:
- A wallet loyalty stamp card. Your members join from your link or QR code, add a card to Apple Wallet or Google Wallet, collect stamps from your staff, and redeem rewards. You can send messages to your members' cards, and set up automations that send on a trigger such as a birthday, a first visit, or a lapse in visits.
- A review funnel. Positive experiences are routed to your Google review form; critical feedback is captured privately for you instead.
The Service includes member-facing join and feedback pages, the wallet card itself, a merchant dashboard, a staff stamping screen, email alerts, and QR code generation.
2. Eligibility
You must be at least 18 years old and legally authorized to operate a business to create a Heed account. By creating an account, you represent that you meet these requirements.
3. Your account and your staff
You are responsible for:
- Keeping your login credentials secure
- All activity that occurs under your account
- Ensuring the information you provide is accurate
The stamping screen is designed for your staff and may be protected by a PIN you set. Anything done through your stamping screen is treated as done by you — including stamps applied and rewards redeemed. Keep the PIN to people you trust, and change it when they leave.
Notify us immediately at hello@tryheed.ca if you suspect unauthorized access to your account.
4. Acceptable use
Use Heed only for its intended purpose: running a loyalty program and collecting genuine feedback for your own business.
You must not:
- Collect feedback from, or enrol, people who are not your own members or customers
- Generate, solicit, or incentivize fake reviews
- Attempt to manipulate your Google rating in ways that violate Google's review policies
- Enter health information, medical records, or treatment details into any Heed field
- Enrol a member without their consent, or import a list of people who did not sign up themselves
- Apply stamps or redeem rewards other than for genuine visits
- Resell, sublicense, or white-label the Service without written permission
- Reverse-engineer, copy, or replicate the Service
- Use automated tools to submit feedback or apply stamps
5. Your members' data
Your members' information is yours, not ours. You are the party responsible for it; we process it on your instructions as your service provider. You are responsible for:
- Having a lawful basis to enrol members and collect their feedback
- Telling your members what you collect and why
- Responding to your members' requests to see, correct, or delete their information — you can delete a member from your dashboard at any time
- Complying with applicable privacy laws, including PHIPA if you are an Ontario healthcare provider

6. Messages you send
When you send a message through Heed, you are the sender and we are the delivery mechanism. We do not write, review, or approve message content.
Heed collects each member's express consent when they join, identifies you as the sender, and places an unsubscribe link on every card. Everything after that is yours: you are responsible for what your messages say and for complying with Canada's Anti-Spam Legislation (CASL) and any other law that applies to you.
You must not send messages to anyone who has opted out, or use messages to send anything unlawful, deceptive, or unrelated to your loyalty program. We may suspend messaging on an account we reasonably believe is being used to send spam or content that violates these Terms.
7. Google reviews
Heed routes happy members to Google's review form. We do not pre-fill, generate, or post reviews on anyone's behalf — every review is written entirely by the person leaving it. You are responsible for ensuring your use of Heed complies with Google's review policies.
8. Wallet cards
The loyalty card lives in Apple Wallet and Google Wallet, which are operated by Apple and Google under their own terms. We depend on those platforms to deliver and update cards, and we cannot control or warrant their availability, their rules, or changes they make. If a platform changes how wallet passes work, the Service may have to change with it.
9. Subscription and billing
Free trial: New accounts get a 7-day free trial with full access, including features that are otherwise on paid tiers only. No credit card is required to start.
Paid subscription:After the trial, the Service is billed monthly per account, plus applicable taxes. Plans start at $29 CAD per month. Your plan determines which features you get — messaging is not included on the entry plan. Current plans and prices are shown in your dashboard and at checkout, and they govern. Pricing may change with 30 days' notice.
Payment: Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.
Cancellation: Cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep full access until then. We do not offer refunds for partial months. If a payment is refunded or charged back, the subscription is cancelled immediately.
Failed payments: If a payment fails, Stripe will retry it and we will contact you by email. While a payment is outstanding your account is treated as lapsed, and new activity pauses — no new members can join and no new stamps can be applied — until the payment is resolved.
10. Pilot program
Some merchants take part in a pilot at no cost for a fixed period, on terms agreed separately. A pilot does not convert to a paid subscription automatically — at the end of the pilot period you choose whether to subscribe, and the account lapses if you do not.
11. Intellectual property
Heed — its code, design, copy and branding — is owned by Shawn Hong (Tevah). You may not copy, reproduce, or distribute any part of the Service without written permission.
Your business's logo, name and branding remain your property. By uploading them, you grant us a limited, non-exclusive licence to display them where the Service needs to: your member-facing pages, your QR codes, and your members' wallet cards. This includes transmitting them to Apple and Google as required to create and update a card in Apple Wallet or Google Wallet. The licence ends when you delete the material or close your account.
12. Disclaimers
The Service is provided “as is” without warranties of any kind. We do not guarantee:
- That the Service will be uninterrupted or error-free
- That your Google rating will improve
- That all critical feedback will reach you before it reaches Google
- That every message or card update will be delivered — delivery depends on Apple, Google, and your member's own device and settings
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost revenue, lost data, or reputational harm.
Our total liability for any claim arising from the Service is limited to the amount you paid us in the 3 months preceding the claim.
Nothing in these Terms limits liability that cannot be limited by law.
14. Termination and deletion
You may close your account at any time by cancelling your subscription and emailing us a deletion request.
We may suspend or terminate your account if you violate these Terms or use the Service in a way that harms your members, other merchants, or the integrity of the Service. We will give notice where reasonably possible.
After cancellation, member and feedback data is deleted 90 days later and the account record is anonymized. This is described in full in our Privacy Policy.
15. Changes to these Terms
We may update these Terms. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes will be resolved in the courts of Ontario.
